Working student Legal at AXA Group Operations

AXA Group Operations is currently looking for a working student to join their team based in Cologne.

Activities:

  • Working student will work with legal counsel to negotiate contracts and provide legal advice to internal stakeholders, and notably:
    • Assistance in designing, negotiating and monitoring the conclusion of intercompany agreements between any AXA Group Operations entity and its customers (i.e. AXA Group companies worldwide)
    • Coordination with stakeholders worldwide and especially with German entities client of AXA GO (support of product team, management of contractual coverage of business operations, managing signing of document)
    • Support legal counsel in training and raising awareness about Legal/Regulatory items to non-expert people (helping preparing presentation)
    • Support legal counsel when acting as a legal Business Partner in all activities relating to intragroup contractual negotiations
    • Review the creation and update of templates of agreements, in coordination with legal counsel, business partners, and train internal clients
    • Support legal counsel on advising on legal processes and execution of contracts, in coordination with internal partners
    • Maintain technical expertise in field and promote it internally
    • Contribute to Corporate Governance and M&A activities/projects (support functions for shareholders meetings/board, preparation of the decks and meeting minutes)
    • Update of the Commercial Registry entries for GO Germany and Go Switzerland (communication with notary and commercial registry, preparation of documents/letter)
    • Legal research especially regarding German and Swiss law
  • These activities cover support in the management of a range of intercompany agreements on a recurring basis as well as frequent one-off projects, in particular IT, Innovation, Finance and Security projects.
  • These responsibilities aim at ensuring that AXA GO is always compliant with international/local legislations/regulations and would not be exposed to sanctions, fines or lawsuits especially regarding
    German law.

Required Skills:

  • Legal degree in Germany (acquired or to be acquired)
  • Working student (enrolled in a University)
  • Contractual legal experience in law firm(s) and/or in-house
  • Knowledge in IT law and contract
  • Familiar with professional insurance regulations and finance/tax issues
  • Ability to work in an international and culturally diverse environment
  • Self-motivated, creative and autonomous with good interpersonal skills
  • Outstanding drafting skills
  • Fluency in English is a must (90% of the work is in English)

Professional and Technical Skills:

  • Transaction Management / Negotiation & Drafting Skills:
    • Ability to negotiate and draft legal documentation in English
    •  Ability to draft internal presentations and memos for internal clients including General Secretary, CEO, CFO, CIO, CFO, Executive Committee, Board.
  • Technical expertise:
    • Understanding of customer activities to identify the risks and issues in their environment and implement efficient solutions with minimum impacts on the day-to-day work
    • Knowledge of IT business and related legal/regulatory items
    • Delivering legally compliant documentation with favorable provisions and in line with best available market practice

Inter-Relational Skills:

  • Having a positive attitude
  • Helping to explain concisely complex legal topics and their relevance to non-legal people including Management and operational teams (e.g. through presentations)
  • Translating business decisions into legal documentation
  • Ensuring maximum legal and reputational protection for the company
